Guide to opening and organising a company in Portugal
Straight answer: after incorporating a company you need to confirm the start of activity, the tax framework, the Certified Accountant, the share capital, the beneficial owner, the invoicing arrangements and how documentation will be sent. Legal incorporation is only the first step; the activity needs an accounting and administrative workflow from its very first transaction.
This guide is for: people incorporating a single-member or private limited company, or who have just received their company formation documents.
Does choosing Empresa na Hora or online formation change the accounting?
Both channels lead to the incorporation of a company, but the procedure, the documents and the options available may differ. In either case, the company will have to organise the start of activity, the share capital, the identification of beneficial owners, invoicing and the obligations that follow.
Before incorporation it is useful to discuss the corporate purpose, the intended activities, the shareholders, the management, the location and how the business will operate. A generic description may not reflect all future transactions.
When should the Certified Accountant be involved?
Ideally before or during incorporation. Under the Empresa na Hora service a Certified Accountant can be appointed, or the start-of-activity declaration can be submitted later within the applicable legal deadline. Involving the professional earlier makes it possible to confirm the framework before the first invoice, hire or significant expense.
Which tax decisions are taken at the start?
The company must be classified according to the activities carried out, the VAT regime, the frequency of returns, the existence of international transactions and other elements. These decisions should be based on how the business is expected to operate, not merely on a shortened description of it.
Is the share capital available for the activity?
The share capital forms part of the assets of the company. The manner and timing of its payment must comply with the articles of association and the applicable rules. Once paid up, it can be used for properly documented company expenses; it should not be confused with the personal money of the shareholders.
What is the RCBE?
The Central Register of Beneficial Owners identifies the individuals who control the entity. The initial declaration must be made within the period indicated by the registry service, and the data must be updated whenever there are changes. It is not merely an incorporation formality: the information must remain correct throughout the life of the company.
How do you prepare invoicing?
Before issuing the first document, confirm the invoicing software or method, the document series, the mandatory data, the ATCUD where applicable and how documents are reported to the Tax Authority. You should also define how documents reach the accounting team and who handles corrections or credit notes.
Which accounts and access credentials should be organised?
- A bank account used exclusively by the company.
- Access credentials for the Portal das Finanças and Segurança Social Direta.
- The permanent certificate and corporate documents.
- Invoicing software and authorised users.
- A digital folder for contracts, invoices, banks and employees.
- An internal calendar for sending documents and validating obligations.
Which mistakes are common at start-up?
- Starting to invoice before confirming the tax framework.
- Paying personal expenses from the company account, or the reverse.
- Not keeping contracts and receipts for the first purchases.
- Postponing the RCBE and other registrations that follow incorporation.
- Choosing tools without checking how they integrate with the accounting.
- Hiring or paying management without preparing the framework.
